1. Agreement to Terms

Welcome to Roomatrix Studio. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Roomatrix Studio ("Company," "we," "us," or "our"), a design consultation business located at 2300 Greenup Ave, Ashland, KY 41101. By accessing our website, scheduling a consultation, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree with any provision of these Terms, you must immediately discontinue use of our website and services. We reserve the right to modify these Terms at any time without prior notice. Your continued use of our services following any changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically for updates.

These Terms apply to all visitors, clients, and any other persons who access or use our website and services. Our services are intended for individuals who are at least 18 years of age or who have obtained parental or guardian consent.

2. Description of Services

Roomatrix Studio provides professional online interior design consultation services exclusively through virtual channels. Our services include but are not limited to the following:

• One-on-one video design consultations conducted via Zoom, Google Meet, FaceTime, or Microsoft Teams at the client's preference.
• Professional advice on color palette selection, paint colors, wallpaper choices, and overall color coordination for residential spaces.
• Furniture selection guidance and recommendations tailored to specific room dimensions, personal style preferences, and budget requirements.
• Lighting design strategies including recommendations for ambient, task, and accent lighting fixtures and placement.
• Space zoning and layout optimization for open-concept living areas, multi-functional rooms, and transitional spaces.
• Comprehensive style assessments of existing interiors with detailed improvement recommendations and action plans.
• Digital mood boards, design concept presentations, and curated shopping lists with product recommendations across various price points.
• Follow-up email support and additional Q&A sessions as specified in the selected consultation package.

All services are advisory in nature. Roomatrix Studio does not perform physical construction, renovation, installation, or any hands-on implementation work. We do not sell, manufacture, or distribute furniture, decor, or any physical products. Any product recommendations provided during consultations are suggestions only, and we are not responsible for the quality, availability, or pricing of third-party products or vendors.

3. Booking and Scheduling

To book a consultation with Roomatrix Studio, clients must submit an inquiry through our website contact form or by contacting us directly via email. Upon receiving your inquiry, our team will respond within one (1) business day with available scheduling options.

Consultation sessions are typically available within five to seven (5-7) business days of booking confirmation. Clients who purchase our Luxe package receive priority scheduling and may be accommodated within two to three (2-3) business days, subject to designer availability.

Once a session is confirmed, clients will receive a confirmation email containing the date, time, meeting link, and preparation instructions. Clients are responsible for ensuring they have a stable internet connection, a functioning camera and microphone, and the agreed-upon video conferencing software installed prior to the scheduled session.

3.1 Pre-Consultation Requirements

To maximize the value of your consultation, we require clients to complete a pre-consultation questionnaire and submit photographs and measurements of the relevant spaces at least 48 hours before the scheduled session. Failure to provide these materials may result in a less comprehensive consultation experience, and no additional time or credit will be provided as compensation for incomplete preparation.

3.2 Rescheduling Policy

Clients may reschedule a confirmed consultation at no additional charge provided that at least 48 hours' notice is given prior to the scheduled session. Rescheduling requests made with less than 48 hours' notice may be subject to a rescheduling fee of $50.00 USD. Each consultation may be rescheduled a maximum of two (2) times. After the second reschedule, the session will be considered forfeited, and fees paid will not be refunded.

3.3 Late Arrivals and No-Shows

If a client joins a scheduled video session more than 15 minutes after the designated start time, the designer reserves the right to end the session. The remaining time will not be extended or credited. If a client fails to appear for a scheduled session without providing prior notice, the consultation will be considered a no-show, and no refund or credit will be issued.

4. Pricing and Payment

All pricing for Roomatrix Studio services is listed in United States Dollars (USD) and is subject to change without prior notice. Current pricing is available on our website and is accurate as of the date published. Prices quoted at the time of booking will be honored for that specific transaction regardless of subsequent price changes.

Payment is required in full at the time of booking unless otherwise agreed upon in writing. We accept major credit cards, debit cards, and other payment methods as specified on our website. All payments are processed through secure, third-party payment processors. Roomatrix Studio does not store credit card or debit card information on its servers.

Applicable sales tax or use tax may be added to the total amount based on the client's location and applicable state or local tax regulations. Clients are responsible for any additional taxes, fees, or charges imposed by their local jurisdiction that are not explicitly included in our pricing.

5. Intellectual Property

All content, designs, mood boards, presentations, written materials, graphics, logos, trademarks, and any other materials created or provided by Roomatrix Studio in connection with our services are the intellectual property of Roomatrix Studio and are protected by applicable copyright, trademark, and other intellectual property laws of the United States.

Upon full payment for services rendered, clients are granted a limited, non-exclusive, non-transferable license to use the design materials provided to them solely for the purpose of implementing the design recommendations in their own personal residential or commercial spaces. Clients may not reproduce, distribute, sell, license, modify, or create derivative works from any materials provided by Roomatrix Studio without our prior written consent.

Roomatrix Studio reserves the right to use anonymized photographs, descriptions, and details of completed design projects for portfolio, marketing, and promotional purposes unless the client provides written notice requesting exclusion within seven (7) days of service completion.

6. Client Responsibilities

Clients agree to provide accurate, complete, and truthful information during the booking process and throughout the consultation engagement. This includes but is not limited to accurate room measurements, current photographs of the space, honest budget parameters, and clear communication of design preferences and goals.

Clients are solely responsible for the implementation of any design recommendations provided during the consultation. Roomatrix Studio is not liable for any issues arising from the client's implementation of our suggestions, including but not limited to structural modifications, paint application, furniture assembly, electrical work, or any other physical alterations to the client's property.

Clients acknowledge that interior design involves subjective aesthetic judgments, and results may vary based on factors beyond our control, including lighting conditions, product availability, color variations in materials, and individual interpretation of design concepts.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Roomatrix Studio, its owners, employees, designers, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services, regardless of the cause of action or theory of liability, even if we have been advised of the possibility of such damages.

Our total liability to you for any and all claims arising out of or related to our services shall not exceed the total amount paid by you to Roomatrix Studio for the specific service giving rise to the claim. This limitation applies to all causes of action in the aggregate, including without limitation breach of contract, breach of warranty, negligence, strict liability, misrepresentation, and other torts.

Roomatrix Studio does not warrant or guarantee any specific results or outcomes from our consultation services. All design advice is provided on an "as-is" basis, and we make no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, reliability, or suitability of our recommendations for any particular purpose.

8. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall first be attempted to be resolved through informal negotiation between the parties. Either party may initiate informal negotiation by providing written notice to the other party describing the nature of the dispute and the desired resolution.

If the dispute cannot be resolved through informal negotiation within thirty (30) days of the initial notice, either party may initiate binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Boyd County, Kentucky, and the language of the arbitration shall be English.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any legal proceedings related to these Terms that are not subject to arbitration shall be brought exclusively in the state or federal courts located in Boyd County, Kentucky.

9. Severability

If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving the intent of the original provision as closely as possible.

10. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Roomatrix Studio with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to such subject matter. No waiver of any provision of these Terms shall be effective unless made in writing and signed by the waiving party.
